POLOTNO STUDIO

Studio license agreement

By creating an account or otherwise using Polotno Studio ("Studio"), you agree to this License Agreement ("Agreement"). If you are using Studio on behalf of an organization, you confirm that you have the authority to bind that organization.

Polotno Studio is operated by Lavrton LLC, a Wyoming limited liability company registered at: 1309 Coffeen Avenue, Ste 1200, Sheridan, WY 82801, USA

Studio is a hosted service. This Agreement covers the Studio editor, your Studio account, cloud storage, and the Studio Automation API. It does not cover the Polotno SDK, which is licensed separately under the SDK License Agreement.

1. Your Account

1.1 Using Studio without an account

The Studio editor can be opened and used without signing up. In this mode your designs stay in your browser, are not stored on Polotno servers, and are not recoverable if you clear your browser data or switch devices.

1.2 Creating an account

An account is required for cloud save, projects, brand kits, and the Automation API. You agree to provide accurate registration information and to keep it current.

1.3 Account security

You are responsible for all activity under your account, including activity by team members and by anyone using your API keys. Keep credentials and API keys confidential and notify team@polotno.com promptly if you believe they have been compromised.

1.4 Eligibility

You must be old enough to form a binding contract in your jurisdiction to hold a Studio account. Studio is not directed at children.

2. Free Plan

2.1 Grant of license

Polotno grants you a limited, non-exclusive, non-transferable, revocable license to use Studio on the Free plan, subject to this Agreement.

2.2 Scope of use

Unlike the SDK trial, the Free plan is not time-limited and is not restricted to evaluation. You may use designs you create on the Free plan for personal and commercial purposes, subject to Section 6 (Intellectual Property) and Section 5 (Acceptable Use).

2.3 Plan limits

The Free plan includes a monthly credit allowance, file storage, and render retention as published on the pricing page. Current limits apply and may be adjusted by Polotno with notice.

2.4 Prohibited actions

On any plan, you may not:

  • Share, resell, or sublicense your account, seats, credits, or API keys
  • Create multiple accounts to circumvent plan limits, credit allowances, or storage quotas
  • Bypass rate limits, license verification, or other technical limitations
  • Use automated means to consume Free plan resources beyond ordinary use
  • Remove or obscure Polotno attribution where attribution is required by your plan

3. Paid Plans

3.1 Grant of license

Upon subscribing to a paid plan, Polotno grants you a limited, non-exclusive, non-transferable license to use Studio according to your selected plan and its limits (credit allowance, file storage, render retention, and any plan-specific features).

3.2 Subscription terms

Subscriptions are:

  • billed in advance on a recurring basis,
  • renewed automatically until cancelled, and
  • valid only while all payments remain current.

You may upgrade or downgrade at any time from your account settings. Changes take effect immediately and your credit allowance adjusts to the new tier.

3.3 Credits

Credits are usage units consumed by metered actions such as renders. Per-operation costs are published on the pricing page.

  • Monthly plan credits reset at the start of each billing cycle and do not roll over.
  • Purchased top-up credits roll over for 12 months and are consumed only after monthly credits are exhausted.
  • Credits have no cash value, are not transferable between accounts, and are not refundable once issued.
  • When your credit balance reaches zero, metered operations stop until you top up or upgrade.

3.4 Cancellation

You may cancel at any time from your account settings. Access continues until the end of the current billing period, after which your account reverts to the Free plan. Payments already made are non-refundable except where required by law.

3.5 Failed payments

You are responsible for maintaining a valid payment method on file. If a charge fails for any reason on your side — an expired card, a declined transaction, insufficient funds, a frozen account, or a fraud hold – Polotno will attempt to notify you and retry. If the charge remains unpaid, the subscription may be downgraded, suspended, or terminated. Polotno is not responsible for service interruptions caused by payment method failures on your side.

4. Automation API

4.1 Grant of access

Paid plans include access to the Studio Automation API for rendering your own templates and generating files programmatically, within your plan's credit allowance and rate limits.

4.2 Permitted use

You may use the Automation API to generate designs for your own business, your clients, and the products or workflows you operate.

4.3 Restrictions

You may not use the Automation API to:

  • Provide a design editor, canvas UI, or template editing interface to third parties as a product or feature — that use case requires a Polotno SDK license
  • Resell raw Studio rendering capacity, expose the API to unlicensed third parties, or operate a competing rendering or design service
  • Build or assist in building a competing editor, SDK, or design platform
  • Exceed rate limits or plan limits without upgrading or written approval

4.4 Rate limits

Polotno may apply rate limits and queueing to protect service stability. Sustained usage materially above your plan's intended scale may require an upgrade or a custom agreement.

5. Acceptable Use

You may not use Studio to create, store, render, or distribute content that:

  • infringes the intellectual property, privacy, or publicity rights of others
  • is unlawful, defamatory, or fraudulent
  • depicts child sexual abuse material or non-consensual sexual content
  • promotes violence, terrorism, or unlawful discrimination
  • impersonates a person or organization in a deceptive manner
  • contains malware or is used to distribute malware

You also may not attempt to gain unauthorized access to Studio, other accounts, or the underlying infrastructure, or interfere with the normal operation of the service.

Polotno may suspend or terminate accounts that violate this section, and may remove content that it reasonably believes violates it or applicable law.

6. Intellectual Property

6.1 Polotno ownership

Polotno retains all rights, title, and interest in and to Studio, including its software, source code, interfaces, documentation, brand assets, and all updates and improvements. No ownership rights are transferred to you.

6.2 Your content

You retain ownership of the designs, uploads, templates, and rendered outputs you create in Studio ("Your Content"). Polotno claims no copyright in Your Content and does not use it to train models.

Subject to Section 6.4 and Section 6.5, you may use your rendered outputs for any lawful purpose, including commercial use, on any plan.

6.3 License you grant to Polotno

To operate the service, you grant Polotno a limited, worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit, and render Your Content — solely to provide Studio to you and to your authorized team members. This license ends when Your Content is deleted from your account, except for content retained in routine backups for a limited period.

6.4 Polotno templates and assets

Templates, shapes, icons, and other assets provided by Polotno inside Studio may be used within your designs, on any plan, including commercially. You may not extract, redistribute, or resell these assets as standalone assets, template packs, or as part of a competing library.

6.5 Third-party content

Studio includes integrations that let you access third-party content such as:

  • Google Fonts
  • Unsplash
  • The Noun Project
  • Other icon, photo, font, or media providers

This content is retrieved through Polotno-managed endpoints under each provider's own licensing terms. This Agreement does not grant you ownership of, or independent rights to, any third-party content. You are responsible for confirming that your intended use — particularly commercial, print, or redistribution use — is permitted by the applicable provider's license.

6.6 Content you upload

You are responsible for having the rights to everything you upload — images, video, fonts, logos, and other assets. Uploading a font or image does not grant you rights you do not already hold.

6.7 Feedback

Any suggestions or improvements you submit may be used by Polotno without obligation. You assign any rights in such feedback to Polotno.

7. Your Data

7.1 Storage

File storage covers your working assets — saved designs, uploaded images, and fonts. Render retention is a separate window governing how long generated outputs remain available for download. Both scale by plan, as published on the pricing page.

7.2 Retention and removal

Rendered outputs are removed after your plan's retention window. If you downgrade or cancel, your account reverts to Free plan limits: saved designs remain accessible within those limits, and content beyond your storage allowance or retention window may be removed.

7.3 Backups

Polotno maintains operational backups for service continuity. These are not a user-facing archive. You are responsible for keeping your own copies of work that matters to you.

7.4 Deletion

You may delete designs and assets at any time, and may request deletion of your account by writing to team@polotno.com. Deletion is permanent.

7.5 Privacy

Polotno's handling of personal data is described in the Privacy Policy.

8. Support

8.1 Support channel

General support requests should be submitted to team@polotno.com

8.2 Sensitive information

If a request requires private data (account details, credentials, URLs, logs), send it to team@polotno.com rather than posting it publicly.

8.3 Priority

Paid plans receive best-effort support with higher tiers prioritized. Free plan users receive support on a best-effort basis, after paid customers.

9. Service Availability and Changes

Studio is a hosted service provided on a commercially reasonable-efforts basis. Polotno may modify, add, or discontinue features, and may perform maintenance that temporarily interrupts access. Where a change materially reduces functionality on a paid plan, Polotno will make reasonable efforts to give advance notice.

Features labelled beta, preview, or coming soon are provided as-is, may change without notice, and are excluded from any availability commitment.

10. Termination

You may stop using Studio and cancel or delete your account at any time.

Polotno may suspend or terminate access if:

  • payments lapse
  • plan limits are materially exceeded
  • you violate Section 5 (Acceptable Use) or any other term of this Agreement

Upon termination, your license to use Studio ends immediately. Sections 6.1, 6.7, 11, 12, and 13 survive termination.

11. Warranty Disclaimer

Polotno warrants it has authority to grant this license.

Otherwise, Studio is provided "as is", without warranties of any kind, including:

  • merchantability
  • fitness for a particular purpose
  • non-infringement
  • uninterrupted or error-free performance
  • accuracy or availability of third-party components, providers, or APIs

12. Limitation of Liability

12.1 Liability cap

Polotno's total liability for any claim shall not exceed the amount paid by you in the preceding 12 months. For Free plan users, total liability shall not exceed USD 50.

12.2 Excluded damages

Polotno is not liable for:

  • indirect or incidental damages
  • lost profits
  • lost data or lost designs
  • business interruption
  • punitive damages
  • consequential damages

These limits apply regardless of legal theory.

13. Governing Law

  • This Agreement is governed by Wyoming law.
  • Disputes are handled in state or federal courts located in Wyoming.
  • The United Nations CISG does not apply.

14. Notices

Formal notices must be emailed to: team@polotno.com

Notices to you will be sent to the email associated with your Polotno account.

A notice is deemed received when successfully transmitted.

15. Entire Agreement

This Agreement constitutes the full understanding between you and Polotno regarding access to and use of Polotno Studio.

Referenced documents — such as an Order Form or DPA — apply only when explicitly executed.

Modifications or waivers are valid only if made in writing and approved by Polotno.

If any clause is unenforceable, the remainder remains in effect.
